Plain English. No surprises.

These Terms of Service are a contract between you and Brandon Korous, a sole proprietor based in California doing business as kanNINJA ("kanNINJA," "we," "us" or "our"). They cover your use of the kanNINJA web app, marketing pages, APIs, and any related services.

By creating an account or using the service, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, and (if you are on a paid plan) our Refund Policy. If you do not agree, do not use the service.

If you are using kanNINJA on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms.

You need an account to use most of the service. Authentication is handled by Clerk; the basics still apply:

• You must be at least 13 years old. If you are under 18, you must have a parent or guardian's permission.
• Provide accurate registration information and keep it up to date.
• Keep your credentials secure. You are responsible for activity under your account.
• One person, one account. Sharing a single account across multiple people is not permitted on paid plans — invite them as workspace members instead.
• Tell us promptly at security@kanninja.com if you suspect your account has been compromised.

Plans and pricing

kanNINJA offers a free plan and several paid tiers. Pricing, features, and limits are described on the Pricing page and may change with notice.

Billing

Paid plans are billed in advance through Stripe on a monthly or annual cycle, depending on what you choose. Subscriptions auto-renew at the end of each cycle until you cancel. By subscribing you authorize Stripe to charge your payment method on each renewal.

Cancellation

You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you keep paid features until then.

Refunds

We do not offer refunds for partial periods or unused time. See the Refund Policy for the short list of exceptions (duplicate charges, charges after a cancellation we missed).

Taxes

Prices listed are exclusive of taxes unless stated otherwise. You are responsible for any sales, use, VAT, GST, or similar taxes that apply to your purchase. Where required, we collect them on top of the listed price.

Price changes

We may change prices for new billing cycles with at least 30 days' notice by email. The price you are paying when notice is given remains in effect until your next renewal.

The free plan is offered to let you try kanNINJA without commitment. Limits are listed on the Pricing page. We may change the limits or discontinue the free plan with reasonable notice. We will not delete free-plan content without first warning you.

Boards, lists, cards, comments, attachments, custom fields, and anything else you put into kanNINJA is "Your Content."

You own Your Content. We do not claim any ownership of it.

You grant kanNINJA a limited, worldwide, royalty-free license to host, copy, display, transmit, and process Your Content for the sole purpose of operating the service for you and the people you share it with. The license ends when you delete the content or close your account, except to the extent retained in backups (see the Privacy Policy) or required by law.

You are responsible for Your Content and for having the right to use any third-party material included in it.

The kanNINJA software, brand, logos, designs, documentation, and content we author belong to Brandon Korous / kanNINJA and are protected by copyright, trademark, and other laws. These Terms grant you a limited right to use the service according to your plan; they do not transfer any of the foregoing.

The kanNINJA source code may be published under a separate source-available license (FSL-1.1-Apache-2.0). That license governs use of the code itself; these Terms govern your use of the hosted service at kanninja.com.

Your use of kanNINJA is subject to our Acceptable Use Policy. The short version: don't use kanNINJA to break the law, harm other people, harass anyone, distribute malware, mine cryptocurrency, scrape data you don't have rights to, or pretend to be us.

We may suspend or terminate accounts that violate the AUP. Where the violation is severe (CSAM, credible threats of violence, active malware distribution), suspension is immediate and without notice.

kanNINJA includes AI-assisted features (suggestions, summaries, drafting). Outputs are generated by machine learning models and:

• May be wrong, incomplete, or inappropriate. Review before relying on them.
• May be similar across users — outputs are not unique creative works of kanNINJA's.
• Are not legal, medical, financial, or professional advice. Don't treat them as such.

You may not use kanNINJA's outputs to develop a product or service that competes with kanNINJA, including by training or fine-tuning a machine learning model on them.

You may close your account at any time from Settings.

We may suspend or terminate your access if you materially violate these Terms or the AUP, if your payment method fails and is not corrected after notice, or if we are required to by law. We will give you reasonable notice where we can.

On termination, your right to access the service ends. We will retain Your Content for at least 30 days so you can export it, then delete it on the schedule described in the Privacy Policy. Sections of these Terms that by their nature should survive (intellectual property, disclaimers, limitations of liability, indemnification, governing law) will survive.

Service provided "as is"

The service is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or trade usage. We do not warrant that the service will be uninterrupted, error-free, or fully secure, or that AI outputs will be accurate.

Limitation of liability

To the maximum extent permitted by law, kanNINJA, Brandon Korous, and any agents or contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to these Terms or the service, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility.

Our aggregate liability for all claims under these Terms will not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose and (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, the exclusions and limitations apply only to the extent permitted by law.

You agree to defend, indemnify, and hold harmless kanNINJA and Brandon Korous from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of the service in violation of these Terms or the AUP, or (c) your violation of any law or third-party right. We may take exclusive control of any matter we are obligated to indemnify; you agree to cooperate.

Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in [County — to be added], California, and you consent to the personal jurisdiction of those courts.

Informal resolution

Before filing suit, you agree to email legal@kanninja.com with a description of the dispute and to give us 30 days to try to resolve it informally.

No class actions

Disputes will be resolved on an individual basis. You and kanNINJA each waive the right to participate as a plaintiff or class member in any class, consolidated, or representative action.

Changes to these Terms

We may update these Terms. Material changes take effect at least seven days after we post them or email a notice, whichever is later. Continued use of the service after that means you accept the updated Terms. If you do not, cancel your account.

Miscellaneous

These Terms (with the documents linked from them) are the entire agreement between you and kanNINJA regarding the service. If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of substantially all our assets.
